GURU NETWORK PORTAL (THE "GURU PORTAL")
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE GURU PORTAL. IN PARTICULAR PLEASE NOTE THE TERMS (i) ALLOWING YOUR PERSONAL INFORMATION TO BE SHARED WITH OTHER USERS OF THE GURU PORTAL (PARAGRAPH 16) AND (ii) RESTRICTING YOU FROM SOLICITING OR ENGAGING THE EMPLOYEES OF IT-VENTURE (PARAGRAPH 18). BY USING THE GURU PORTAL YOU ARE AGREEING TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE GURU PORTAL.
1. CHANGES TO THESE TERMS
We may revise these terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in these terms may also be superseded by provisions or notices published elsewhere on the GURU PORTAL or our website (www.itventure.com).
2. CHANGES TO THE GURU PORTAL
We may update the GURU PORTAL from time to time, and may change the content at any time (including the features and services available via the GURU PORTAL). Any such update or change is subject to these terms.
However, please note that any of the content on the GURU PORTAL may be out of date at any given time, and we are under no obligation to update it.
We do not guarantee that the GURU PORTAL, or any content on it, will be free from errors or omissions.
3. ACCESSING THE GURU PORTAL
The GURU PORTAL is made available free of charge to users who have been granted access by us via an online registration process and who use eFront software packages in the course of their business or employment (Users).
All Users agree to provide true, accurate and up-to-date information during the User registration process and agree to keep us informed of any changes to that information. If a User ceases to use eFront software packages in the course of their business or employment they must promptly notify us and shall immediately be removed as a User. All Users agree to provide us with such additional information as we shall reasonably request at any time.
Users will have access via the GURU PORTAL to (amongst other services) an input interface, a storage area, a Form and Wiki area to collaborate with other Users.
We do not guarantee that the GURU PORTAL, or any content on it, will always be available or be uninterrupted. Access to the GURU PORTAL is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the GURU PORTAL without notice. We will not be liable to you if for any reason the GURU PORTAL is unavailable at any time or for any period. We have the right to terminate your access to the GURU PORTAL at any time, without notice, for any reason, including without limitation, breach of these terms. We may also at any time, at our sole discretion, discontinue the GURU PORTAL or any part thereof without prior notice and you agree that we shall not be liable to you or any third party for any termination of your access to the GURU PORTAL.
You are responsible for making all arrangements necessary for you to have access to the GURU PORTAL.
You are also responsible for ensuring that all persons who access the GURU PORTAL through your internet connection are aware of these terms (and any other applicable terms and conditions), and that they comply with them.
The GURU PORTAL is directed to people carrying out business in the United Kingdom. We do not represent that content available on or through the GURU PORTAL is appropriate or available in other locations. We may limit the availability of the GURU PORTAL or any service or product described on the GURU PORTAL to any person or geographic area at any time. If you choose to access the GURU PORTAL from outside the United Kingdom, you do so at your own risk.
4. YOUR ACCOUNT AND PASSWORD
As part of our security procedures, each User will be provided with a user ID and password (or similar) to access the GURU PORTAL. You must treat this information as confidential and must not disclose it to any third party. Users are responsible for keeping their user ID and password safe and for all actions that are carried out using their user ID and password. Passwords should be reset on a regular basis.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms.
If you know or suspect that anyone other than you knows (or has used) your user identification code or password, you must promptly notify us at firstname.lastname@example.org. We shall not be responsible for any loss or damage resulting from the use of your user ID and/or password by any third party.
5. INTELLECTUAL PROPERTY RIGHTS
IT-Venture Solutions Ltd is the owner or the licensee of all intellectual property rights in the GURU PORTAL and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You may print off one copy, and may download extracts, of any page(s) from the GURU PORTAL for your personal use and you may draw the attention of others within your organisation to content posted on the GURU PORTAL.
You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
Our status (and that of any identified contributors) as the authors of content on the GURU PORTAL must always be acknowledged.
You must not use any part of the content on the GURU PORTAL for commercial purposes without obtaining a licence to do so from us or our licensors.
If you print off, copy or download any part of the GURU PORTAL in breach of these terms, your right to use the GURU PORTAL will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
6. No reliance on information
The content on the GURU PORTAL is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the GURU PORTAL.
Although we make reasonable efforts to update the information on the GURU PORTAL, we make no representations, warranties or guarantees, whether express or implied, that the content on the GURU PORTAL is accurate, complete or up-to-date.
7. LIMITATION OF OUR LIABILITY
Nothing in these terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the GURU PORTAL or any content on it, whether express or implied.
We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
use of, or inability to use, the GURU PORTAL; or
use of or reliance on any content displayed on the GURU PORTAL; or
the use of any interactive services via the GURU PORTAL in contravention of the terms of the Acceptable Use Policy set out below..
Please note that in particular, we will not be liable for:
breaches of third party intellectual property rights;
loss of profits, sales, business, or revenue;
loss of anticipated savings;
loss of use;
loss of corruption of data or information;
loss of business opportunity, goodwill or reputation; or
any indirect or consequential loss or damage.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the GURU PORTAL or to your downloading of any content on it, or on any website linked to it.
We assume no responsibility for the content of websites linked on the GURU PORTAL. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
Our total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation (whether innocent or negligent), restitution or otherwise arising in connection with this agreement shall be limited to Â£1,000,000.
8. UPLOADING CONTENT TO THE GURU PORTAL
Whenever you make use of a feature that allows you to upload content to the GURU PORTAL, or to make contact with other users of the GURU PORTAL, you must comply with the content standards set out in our Acceptable Use Policy below.
You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty.
Any content you upload to the GURU PORTAL will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of the GURU PORTAL a limited licence to use, store and copy that content and to distribute and make it available to third parties. The rights you license to us are described in the next paragraph (Rights you license).
We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the GURU PORTAL constitutes a violation of their intellectual property rights, or of their right to privacy.
We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of the GURU PORTAL.
We have the right to remove any content posted/uploaded onto the GURU PORTAL if, in our opinion, the content of any material posted/uploaded does not comply with the content standards set out in our Acceptable Use Policy set out below.
The views expressed by other users on the GURU PORTAL do not necessarily represent our views or values.
You are solely responsible for securing and backing up your content.
9. RIGHTS YOU LICENSE
When you upload or post content to the GURU PORTAL, you grant us a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to:
use, reproduce, distribute, prepare derivative works of, display, sublicense, adapt, translate, edit, publish, transmit and perform that user generated content in connection with the service provided by the GURU PORTAL and across different media and you waive your right to be identified as the author of such content and your right to object to derogatory treatment of it; and
allow third parties to use the content of the GURU PORTAL for their purposes or in accordance with the functionality of the GURU PORTAL.
The licence shall be terminated when such content is deleted from the Portal.
10. ACCEPTABLE USE POLICY
You may use the GURU PORTAL only for lawful purposes. You may not use the GURU PORTAL:
In any way that breaches any applicable local, national or international law or regulation.
In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards set out below.
To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
You also agree:
Not to reproduce, duplicate, copy or re-sell any part of the GURU PORTAL in contravention of the provisions of these terms.
Not to access without authority, interfere with, damage or disrupt:
any part of the GURU PORTAL or our website;
any equipment or network on which the GURU PORTAL site; or
any equipment or network or software owned or used by any third party.
11. INTERACTIVE SERVICES
We shall from time to time provide interactive services on the GURU PORTAL, including, without limitation:
Bulletin boards and noticeboards.
Where we provide interactive services on the GURU PORTAL, we will do our best to assess any possible risks for Users from third parties. We will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks. However, we are under no obligation to oversee, monitor or moderate any interactive service we provide on the GURU PORTAL, and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a User in contravention of our content standards, whether the service is moderated or not.
Where we do moderate an interactive service, we will normally provide you with a means of contacting the moderator, should a concern or difficulty arise.
12. CONTENT STANDARDS
These content standards apply to any and all material which you contribute to the GURU PORTAL (contributions), and to any interactive services associated with it.
You must comply with the spirit and the letter of the following standards. The standards apply to each part of any contribution as well as to its whole.
Be accurate (where they state facts).
Be genuinely held (where they state opinions).
Comply with applicable law in the UK and in any country from which they are posted.
Contributions must not:
Contain any material which is defamatory of any person.
Contain any material which is obscene, offensive, hateful or inflammatory.
Promote sexually explicit material.
Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
Infringe any copyright, database right or trade mark of any other person.
Be likely to deceive any person.
Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
Promote any illegal activity.
Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety.
Be likely to harass, upset, embarrass, alarm or annoy any other person.
Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
Give the impression that they emanate from us, if this is not the case.
Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
13. SUSPENSION AND TERMINATION
We will determine, in our discretion, whether there has been a breach of the acceptable use policy through your use of the GURU PORTAL. When a breach of this policy has occurred, we may take such action as we deem appropriate.
Immediate, temporary or permanent withdrawal of your right to use the GURU PORTAL.
Immediate, temporary or permanent removal of any posting or material uploaded by you to the GURU PORTAL.
Issue of a warning to you.
Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
Further legal action against you.
Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.
We do not guarantee that the GURU PORTAL will be secure or free from bugs or viruses.
You are responsible for configuring your information technology, computer programmes and platform in order to access the GURU PORTAL. You should use your own virus protection software.
You must not misuse the GURU PORTAL by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the GURU PORTAL, the server on which the GURU PORTAL is stored or any server, computer or database connected to the GURU PORTAL. You must not attack the GURU PORTAL via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the GURU PORTAL will cease immediately.
15. LINKING TO THE GURU PORTAL
You may link to the home page of the GURU PORTAL or our website (www.itventure.com), provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
You must not establish a link to the GURU PORTAL or our website in any website that is not owned by you.
The GURU PORTAL and/or our website must not be framed on any other site, nor may you create a link to any part of the GURU PORTAL or our website other than the home page of either our website or the GURU PORTAL.
We reserve the right to withdraw linking permission without notice.
The website in which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy set out above.

Where the GURU PORTAL contains links to other sites and resources provided by third parties, these links are provided for your information only.
We have no control over the contents of those sites or resources.

We are committed to protecting and respecting your privacy and set out below the basis on which .any personal data we collect from you, or that you provide to us, will be processed by us.
For the purpose of the Data Protection Act 1998 (the Act), the data controller is IT-Venture Solutions Ltd.
Information we may collect from you
We may collect and process the following data about you:
Information you give us. You may give us information about you by filling in forms on the GURU PORTAL or our website (itventure.com) or by corresponding with us by phone, e-mail or otherwise. This includes information you provide when you register to use the GURU PORTAL, subscribe to our services, participate in discussion boards or other social media functions on our site, and when you report a problem with our website or the GURU PORTAL. The information you give us may include your name, address, e-mail address and phone number.
Information we collect about you. With regard to each of your visits to our site we may automatically collect the following information:

If you do not want us to use your data in this way, or to pass your details on to third parties for marketing purposes, please tick the relevant box situated on the form on which we collect your data (the registration form);
to notify you about changes to our service;
to ensure that content from our website and the GURU PORTAL is presented in the most effective manner for you and for your computer.
Information we collect about you. We will use this information:
to administer the website and the GURU PORTAL and for internal operations, including troubleshooting, data analysis, testing, research, statistical and survey purposes;

DISCLOSURE OF YOUR INFORMATION
We may share your personal information with any member of our group, which means our subsidiaries, our ultimate holding company and its subsidiaries, as defined in section 1159 of the UK Companies Act 2006.
We may share your information with other registered users of the Portal. As a result, you may receive unsolicited messages from other registered users of the Portal. You agree that you shall not misuse any personal information available to you via the Portal.
We may share your information with selected third parties including:
Business partners, suppliers and sub-contractors for the performance of any contract we enter into with them or you.
Advertisers and advertising networks that require the data to select and serve relevant adverts to you and others. We do not disclose information about identifiable individuals to our advertisers, but we may provide them with aggregate information about our users (for example, we may inform them that 500 men aged under 30 have clicked on their advertisement on any given day). We may also use such aggregate information to help advertisers reach the kind of audience they want to target (for example, women in SW1). We may make use of the personal data we have collected from you to enable us to comply with our advertisers' wishes by displaying their advertisement to that target audience.
Analytics and search engine providers that assist us in the improvement and optimisation of the website and the GURU PORTAL.
We may disclose your personal information to third parties:
In the event that we sell or buy any business or assets, in which case we may disclose your personal data to the prospective seller or buyer of such business or assets.
If IT-Venture Solutions Limited or substantially all of its assets are acquired by a third party, in which case personal data held by it about its customers will be one of the transferred assets.
If we are under a duty to disclose or share your personal data in order to comply with any legal obligation, or in order to enforce or apply these terms and other agreements; or to protect the rights, property, or safety of IT-Venture Solutions Ltd, our customers, or others. WHERE WE STORE YOUR PERSONAL DATA
All information you provide to us is stored on our secure servers.
Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to the website or the GURU PORTAL; any transmission is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorised access.
You have the right to ask us not to process your personal data for marketing purposes. We will usually inform you (before collecting your data) if we intend to use your data for such purposes or if we intend to disclose your information to any third party for such purposes. You can exercise your right to prevent such processing by checking certain boxes on the forms we use to collect your data. Our website or the GURU PORTAL may, from time to time, contain links to and from the websites of our partner networks, advertisers and affiliates. If you follow a link to any of these websites, please note that these websites have their own privacy policies and that we do not accept any responsibility or liability for these policies. Please check these policies before you submit any personal data to these websites.
ACCESS TO INFORMATION
The Act gives you the right to access information held about you. Your right of access can be exercised in accordance with the Act. Any access request may be subject to a fee of Â£10 to meet our costs in providing you with details of the information we hold about you.

Strictly necessary cookies. These are cookies that are required for the operation of our website (including the GURU PORTAL). They include, for example, cookies that enable you to log into secure areas of our website (including the GURU PORTAL).

18. RESTRICTIONS ON USERS
In order to protect the confidential information and business connections of IT-Venture each User agrees that it shall not, whilst a User of the Portal and for 12 months after ceasing to be a User of the Portal:
offer to employ or engage or otherwise endeavour to entice away from IT-Venture anyone employed or engaged by IT-Venture who could materially damage the interests of IT-Venture in the provision of the GURU PORTAL and with whom the User dealt in the 12 months before ceasing to be a User (Restricted Person); and
employ or engage or otherwise facilitate the employment or engagement of a Restricted Person, whether or not such person would be in breach of contract as a result of such employment or engagement.
The restrictions imposed on the User in this paragraph shall apply to the User acting:
directly or indirectly; and
on the User's own behalf or on behalf of, or in conjunction with, any firm, company or person.
19. APPLICABLE LAW
These terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
